TERMS OF TRADE

1. Validity of quotes

  •  All quotes are valid for one month from date of quote.
  • The quote sets out the items of work included at the quoted sum and is based on information received. Any alterations, amendments etc, requested by the purchaser, the purchaser’s agent/contractor, or any other authority, and any additional visits to the site after installation, will be charged at the current rate for service and/or materials.
  • Where openings have been altered after site details have been taken, all costs involved in rectification will be at the purchaser’s expense.
  • Building council permits, engineers certificate & calculations and town planning applications etc. are the purchaser’s responsibility. The company will proceed with the work as directed on the assumption that all government and private certificates and permits have been obtained. All costs of obtaining any of the above will be borne by the purchaser.
  • All electrical wiring and connections to power units, including the setting of limit switches and the mounting of controllers is the responsibility of the purchaser unless included in this quotation.
  • Xpanda Security Ltd will take all due care but carries no responsibility for any damage to a specialized surface that requires holes to be drilled to suit removable mullions, locking devices or side guides, e.g. marble, granites, glass, ceramic tiles, mirrors, etc.
  • Designs, drawings, specifications and samples, submitted by Xpanda Security, remain the sole property of this company and cannot be reproduced, copied or used in whole or part, without the written permission of Xpanda Security.
  • Provision and granting of access for installation, service or repair is the responsibility of the purchaser
  • Orders placed in writing or verbally, cannot be cancelled. Xpanda Security will negotiate to cease work and a minimum charge of not less that 50% of the quoted sum shall be paid by the purchaser.
  • Installation will be carried out as close as possible to requested dates and the purchaser shall prepare all the works to receive the installation in full where ever possible. Where it is necessary to make further visits to site or should the structure by others not be ready, we reserve the right to charge for the time involved at current rates.

2. Prices and taxes

All prices shown in quotes or estimates are exclusive of goods and services tax (GST).

3. Payment terms

  • For Installation projects, Depending on the value of work we may require a 50% deposit and the balance due within 7 days of install.
  • For ‘Supply Only’ sales, Payment is due in full before manufacturing.
  • At it’s discretion, Xpanda Security may agree in writing to accept the following payment terms:
    1. With-in seven days of completing the installation.
    2. All “on account invoices” need to paid by the 20th day of the month following the invoice date.
    3. If an invoice is not settled on due date, Xpanda Security may without prejudice to its other rights, charge interest on the outstanding balance until it is paid in full. If the company incurs legal costs and disbursements in recovering any overdue amounts the customer shall reimburse Xpanda Security for such items. If any account is overdue for payment Xpanda Security shall have the right to suspend delivery under any other contract, which it might have with the purchaser. Interest will be charged at 18% p.a. from the date the invoice becomes overdue.
    4. We do not accept retentions unless by prior arrangement at time of tender. All retentions will have an interest rate of 18%
      p.a. until paid out in full.

4. Discount

Xpanda Security reserves the right to cancel all trade discounts in the event that the buyer fails to comply with these Terms and
Conditions of Trade.

5. Delivery

  • Xpanda Security shall not be liable for any loss or damage whether direct or indirect arising from delays in shipping, delivery or the incorrect use.
  • When you receive our product please check that they are in good order before you sign for the goods. Even if the packaging appears undamaged, you must open up the packaging and check the condition of the goods.
  • Once the goods have been signed for, the Freight Company or Xpanda Security will not entertain any claims.
  • Unless otherwise agreed, all freight costs are to be paid by the purchaser.

6. Risk and title

  • The installed or supplied goods shall remain the property of Xpanda Security even though the goods might have been delivered to and actually received by the purchaser or may have been installed at or fixed to any premises, or the possession of the goods may have passed to a third party until payment for those goods has been made in full.
  • If the purchaser fails to pay the price to the vendor at the time of, and in the manner specified, the vendor may enter onto any premises in the possession of the purchaser by force if need be and may re-take possession of the goods or some part or parts thereof.

7. Personal Property Securities Act 1999

The customer agrees that the provision herein constitute a Security Interest in Personal Property (as those terms are defined in the Personal Property Securities Act 1999 (PPSA)) in respect of which the seller may register a financing statement on the Personal Property Securities Register.

8. Warranties and conditions

  • Xpanda Security warrants all of its products against defective workmanship and faulty materials for twelve months from the date of purchase and undertakes, at its option, to repair or replace, free of charge, each product or part thereof on condition that:
    1. The products or parts has not been subjected to misuse, neglect, or been involved in an accident.
    2. The repairs are not required as a result of normal wear and tear.
  • Xpanda Security cannot be held responsible for any repair other than those carried out by Xpanda Security and its’ authorised installation contractors.
  • Xpanda Security will be limited to replacing the faulty product or parts and not the labour costs or any contingent expenses, for any installation that was not carried out by Xpanda Security or its’ authorised installation contractors.
  • Clause 8c refers to “supply only” contracts as well.
  • Xpanda Security will not accept any responsibility for the malfunction or improper operation of Xpanda Security products caused by incorrect installation by third party installation companies.

9. Privacy Act 1993

  • The customer agrees that the Company may obtain information about the Customer from the Customer or any other person (including other members of the Company’s group of companies and any credit or debit collection agencies) in the course of the Company business, including credit assessment, debt collecting and direct marketing activities and the Customer consents to any person providing the Company with such information.
  • The Customer agrees that the Company may use any information it has about the Customer relating to the Customer’s credit worthiness and give that information to any other person, (including any credit or debt collection agency and other members of the Company’s group of companies) for credit assessment and debt collection purposes. The Customer agrees that any other information collected by the Company about the Customer is accessed or collected for the use of any member of the Company’s group of companies in the course of its business, including direct marketing activities.
  • The Customer must notify the Company of any change in circumstances that may affect the accuracy of the information provided by the Customer to the Company or the Company’s group of companies. If the customer is an individual, (i.e. a natural person) the Customer has rights under the Privacy Act 1993 to access and request the correction of any personal information which the Company holds about the Customer.
